Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Arivue Capital Decision Platform and this website (together, the "Services"), provided by Arivue Inc. ("Arivue", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

The Services

The Services help teams author, analyze, and manage business cases for capital decisions. We may add, change, or remove features over time to improve the Services or meet operational and legal requirements.

Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use of your account.

Acceptable use

You agree not to misuse the Services. This includes not attempting to gain unauthorized access, not interfering with the operation or security of the Services, not reverse engineering except where permitted by law, and not using the Services to violate any applicable law or the rights of others.

Customer data and ownership

As between you and Arivue, you retain ownership of the data and content you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, secure, and improve the Services and as otherwise described in our Privacy Policy. You are responsible for ensuring you have the necessary rights to submit Customer Data.

Intellectual property

The Services, including the software, design, and content we provide, are owned by Arivue and its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in the Services.

Confidentiality

Each party may receive information from the other that is confidential. The receiving party agrees to protect such information with reasonable care and to use it only as needed to exercise its rights and perform its obligations under these Terms.

Warranties and disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Outputs generated with the assistance of AI are intended to support decision-making and do not constitute financial, legal, or professional advice.

Limitation of liability

To the fullest extent permitted by law, Arivue will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our aggregate liability for any claim relating to the Services is limited to the amount you paid for the Services in the twelve months preceding the event giving rise to the claim.

Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate access if you breach these Terms or if we reasonably believe suspension is necessary to protect the Services or other users. Provisions that by their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The parties agree to the exclusive jurisdiction of the courts located in Delaware, subject to any mandatory rights available to you under local law.

Changes to terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
